1. Acceptance of Terms
By downloading, installing, accessing, or using Depo Tool ("the Application," "we," "our," or "us"), you ("the User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms," "Agreement," or "TOS"). These Terms constitute a legally binding agreement between you and the developers of Depo Tool governing your access to and use of the Application, its associated website, documentation, and all related services, tools, features, and functionalities (collectively, the "Services"). If you do not agree to all of the terms and conditions set forth in this Agreement, you must immediately cease all use of the Application and delete any copies of the Application in your possession. Your continued use of the Application following the posting of any amendments or modifications to these Terms shall constitute your acceptance of such changes. You represent and warrant that you have the legal capacity and authority to enter into this Agreement. If you are using the Application on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. We reserve the right to update, modify, supplement, or replace any part of these Terms at our sole discretion by posting revised Terms on our website or GitHub repository. Material changes will be indicated by updating the "Last Updated" date at the top of this document. It is your responsibility to review these Terms periodically for changes, and your continued use of the Services after such modifications constitutes your binding acceptance of the updated Terms.
2. Description of Service
Depo Tool is a free, open-source desktop application built using the Tauri framework that functions as a Steam library management utility. The Application enables users to download, organize, and manage game depot manifests, Lua configuration scripts, and related files within their local Steam installation directory. The Application communicates with remote servers hosted on Cloudflare and GitHub infrastructure solely for the purpose of retrieving publicly available game data files, manifest files, and Lua scripts. All file operations performed by the Application occur exclusively on the user's local filesystem, and no user data is transmitted to any external server or third party beyond the standard HTTPS requests necessary to download the aforementioned files. The Application is designed to work in conjunction with the Steam client developed by Valve Corporation. However, Depo Tool is an independent, third-party tool that operates separately from the Steam client and does not modify, patch, reverse-engineer, or otherwise alter the Steam client software itself. The Application's functionality is limited to reading from and writing to specific directories within the user's local Steam installation folder. The Services are provided on an "as-is" and "as-available" basis. We make no guarantees regarding the availability, reliability, performance, or functionality of the Application or any related services. The Application may be updated, modified, or discontinued at any time without prior notice. Game availability, compatibility, and functionality may change without notice due to updates by Valve Corporation, game publishers, or other third parties over whom we have no control.
3. Eligibility and User Requirements
To use Depo Tool, you must be at least thirteen (13) years of age, or the minimum age required by applicable law in your jurisdiction, whichever is higher. If you are between the ages of thirteen (13) and eighteen (18), or the age of legal majority in your jurisdiction, you may only use the Application with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Application, you represent and warrant that you meet all eligibility requirements stated herein and that all information you provide in connection with your use of the Application is accurate and truthful. You must have a valid and lawfully obtained installation of the Steam client on your device in order to use the Application's core functionality. You are solely responsible for ensuring that your use of the Application complies with all applicable local, state, national, and international laws, regulations, and ordinances. You must have a compatible operating system and sufficient storage space on your device to install and operate the Application. You are responsible for maintaining the security of your device, including keeping your operating system and security software up to date. We reserve the right to refuse service to any individual or entity for any reason at any time, and to terminate or suspend access to the Application if we determine, in our sole discretion, that a user has violated these Terms or any applicable law.
4. License and Intellectual Property
Depo Tool is released under the MIT License, a permissive open-source software license that grants you a non-exclusive, worldwide, royalty-free license to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Application, subject to the conditions set forth in the MIT License. The full text of the MIT License is included with the Application's source code and is available in our GitHub repository. This open-source license applies exclusively to the Application's source code and associated documentation. It does not extend to any third-party content, trademarks, logos, game assets, or intellectual property accessed through or in connection with the Application. All trademarks, service marks, trade names, logos, and other intellectual property rights associated with Steam, Valve Corporation, and any games or content accessible through the Steam platform are the exclusive property of their respective owners. Depo Tool's name, logo, and branding are the property of the Depo Tool project and its contributors. While the source code is open-source, the use of Depo Tool's branding in a manner that implies endorsement, affiliation, or official status with Valve Corporation, Steam, or any game publisher is strictly prohibited. You acknowledge and agree that the Application may facilitate access to content that is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are solely responsible for ensuring that your use of any content obtained through or in connection with the Application complies with all applicable intellectual property laws and the terms of service of any relevant third-party platforms, including but not limited to Valve Corporation's Steam Subscriber Agreement.
5. User Conduct and Acceptable Use
By using Depo Tool, you agree to use the Application only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You are solely responsible for your conduct in connection with the Application and for any consequences arising from such conduct. You agree not to use the Application to engage in any activity that violates the terms of service of Valve Corporation, Steam, or any game publisher or platform operator. You agree not to use the Application for any commercial purpose without appropriate authorization from all relevant rights holders. You shall not use the Application to distribute, transmit, or facilitate the distribution of malware, viruses, trojans, worms, or any other malicious or harmful code. You shall not attempt to circumvent, disable, or otherwise interfere with any security features of the Application, our servers, or any third-party infrastructure used in connection with the Services. You agree not to use the Application to infringe upon or violate the intellectual property rights, privacy rights, or other legal rights of any individual or entity. You shall not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any third-party software used in connection with the Application, except to the extent expressly permitted by applicable law. You agree not to misrepresent your identity, affiliation, or the purpose of your use of the Application. You shall not use the Application to engage in any activity that could damage, disable, overburden, or impair our servers or infrastructure, or interfere with any other party's use and enjoyment of the Services. Any violation of these acceptable use provisions may result in the termination of your right to use the Application and may expose you to civil and criminal liability.
6. Disclaimers and Warranties
THE APPLICATION AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Application will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. We do not warrant that the results obtained from the use of the Application will be accurate, reliable, or meet your expectations. We do not warrant that any defects in the Application will be corrected, or that the Application will be compatible with any particular hardware, software, or operating system configuration. You acknowledge and agree that the use of the Application is at your sole risk. Any material downloaded or otherwise obtained through the use of the Application is accessed at your own discretion and risk, and you shall be solely responsible for any damage to your computer system, device, or data that results from the download of any such material. We do not warrant, endorse, guarantee, or assume responsibility for any third-party content, products, or services advertised or offered through the Application, or any third-party website or service linked to or from the Application. We make no representation or warranty regarding the legality, legitimacy, or appropriateness of any content accessed through or in connection with the Application in any particular jurisdiction. You are solely responsible for determining whether your use of the Application and any content obtained through it complies with applicable laws in your jurisdiction.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPERS, CONTRIBUTORS, MAINTAINERS, OR AFFILIATES OF DEPO TOOL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APPLICATION, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Without limiting the foregoing, our total cumulative liability to you for all claims arising out of or relating to these Terms or the Application shall not exceed the amount, if any, that you have paid to us for the use of the Application during the twelve (12) months immediately preceding the event giving rise to the claim. Since Depo Tool is provided free of charge, this limitation effectively means that our maximum aggregate liability is zero dollars ($0.00 USD). You acknowledge and agree that the limitations of liability set forth in this section are fundamental elements of the basis of the bargain between you and us, and that we would not provide the Application without such limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions and limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. You agree that any claim or cause of action arising out of or related to your use of the Application or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
8. Indemnification
You agree to indemnify, defend, and hold harmless the developers, contributors, maintainers, and affiliates of Depo Tool and their respective officers, directors, employees, agents, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use or misuse of the Application or the Services; (b) your violation of these Terms or any applicable law, regulation, or ordinance; (c) your violation or infringement of any intellectual property, privacy, publicity, or other rights of any third party; (d) any content you submit, post, transmit, or otherwise make available through or in connection with the Application; (e) your negligent or wrongful conduct; or (f) any third-party claim that your use of the Application has caused damage to a third party. This indemnification obligation shall survive the termination of these Terms and your cessation of use of the Application. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate fully with our defense of such claim. You shall not settle any claim that adversely affects the Indemnified Parties or imposes any obligation or liability on any Indemnified Party without our prior written consent.
9. Third-Party Services and Links
The Application may interact with, connect to, or provide links to third-party websites, services, platforms, and resources that are not owned or controlled by Depo Tool. These third-party services include, but are not limited to, Valve Corporation's Steam platform, Cloudflare's content delivery network, and GitHub's hosting services. We have no control over and assume no responsibility for the content, privacy policies, terms of service, practices, availability, or performance of any third-party services. Your interactions with any third-party services, including any transactions or data exchanges, are solely between you and the relevant third party. We strongly recommend that you review the terms of service and privacy policies of any third-party services before engaging with them. Your use of third-party services is at your own risk and is subject to the terms and conditions of those services. We shall not be liable for any damage, loss, or harm arising from your use of or reliance on any third-party services, content, products, or resources. The inclusion of any link to or integration with a third-party service does not imply our endorsement, sponsorship, or recommendation of that service. We expressly disclaim any and all liability arising from your use of any third-party service accessed through or in connection with the Application. You acknowledge that Valve Corporation may, at any time and in its sole discretion, modify its Steam platform, terms of service, or policies in ways that may affect the functionality or availability of Depo Tool. We are not responsible for any disruption to the Application's functionality caused by changes made by third-party service providers.
10. Termination
These Terms are effective until terminated by either party. You may terminate this Agreement at any time by uninstalling the Application and ceasing all use of the Services. We may terminate or suspend your access to the Application at any time, with or without cause and with or without notice, if we determine in our sole discretion that you have violated any provision of these Terms, that your use of the Application poses a security risk or may cause legal liability, or for any other reason we deem appropriate. Upon termination of these Terms for any reason, you must immediately cease all use of the Application and destroy all copies of the Application in your possession or control. Termination of these Terms shall not relieve you of any obligations that accrued prior to termination, including but not limited to any indemnification obligations, limitations of liability, intellectual property provisions, and any other provisions that by their nature are intended to survive termination. The following sections of these Terms shall survive any termination: Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive termination. We shall not be liable to you or any third party for any termination of your access to the Application. Following termination, any files previously written to your Steam directory by the Application will remain on your local filesystem unless you manually remove them. We have no obligation to assist you in removing any files created by the Application after termination.
11. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to these Terms, the Application, or the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which the primary developer of Depo Tool resides, without regard to its conflict of law provisions. You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Application shall be instituted exclusively in the courts of competent jurisdiction in the aforementioned jurisdiction, and you hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or other proprietary rights. Before initiating any formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least thirty (30) days following written notice of the dispute. If the dispute cannot be resolved through informal negotiation, either party may pursue resolution through the appropriate legal channels. You agree that any claim or cause of action arising out of or related to these Terms or the Application must be filed within one (1) year after such claim or cause of action arose, or be forever barred. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
12. Non-Affiliation Disclaimer
Depo Tool is an independent, community-developed, open-source project. Depo Tool is not affiliated with, endorsed by, sponsored by, licensed by, or in any way officially connected to Valve Corporation, Steam, or any of their subsidiaries, affiliates, or related entities. The names "Steam," "Valve," and any related logos, trademarks, trade names, and service marks are the exclusive property of Valve Corporation. Any references to Steam, Valve Corporation, or any game titles within the Application, on our website, or in any associated documentation or communications are used solely for the purpose of identification and description, and do not imply any endorsement, affiliation, or sponsorship. Similarly, Depo Tool is not affiliated with, endorsed by, or connected to any game publisher, developer, or distributor whose products may be accessible through the Steam platform. All game names, titles, logos, and associated intellectual property are the property of their respective owners and are used herein solely for identification and descriptive purposes. You acknowledge and agree that Valve Corporation and other third parties bear no responsibility or liability whatsoever for the Application, its functionality, its content, or any consequences arising from your use of the Application. Any issues, complaints, or concerns regarding the Application should be directed to the Depo Tool project through our GitHub repository and not to Valve Corporation or any game publisher.
13. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision to the greatest extent possible. If such modification is not possible, the offending provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision in any particular jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction. No waiver of any term, condition, or provision of these Terms shall be deemed a further or continuing waiver of such term, condition, or provision, or a waiver of any other term, condition, or provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of the waiving party. These Terms, together with our Privacy Policy and any other legal notices or agreements published by us in connection with the Application, constitute the entire agreement between you and us regarding your use of the Application and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Application. No amendment to or modification of these Terms shall be binding unless made in writing and agreed to by both parties.
